service providers (“Service Providers”).

customers, particularly email addresses, to process and deliver orders. Additionally, in an effort to

3. Designphic Account Registration
An account (a “Designphic Account”) will be automatically created for You in order to access Our
Services (using Your email address and a randomly generated password that You can alter later on
after Your initial log in). For Us to safely deliver, store, and serve You Your requested Designphic,
Your Designphic Account is required. We will ask You for information when You place your first
order, including but not limited to, Your name, email address, and other private details. To register
for an account with Us, you must give information that is true, correct, and up to date. Otherwise,
due to erroneous, untrue, or incomplete information, We shall have the right to change the account
type, suspend, or terminate such Designphic Account.
You are fully responsible for all activity that occurs under Your Designphic Account. It is then
imperative that You keep Your account confidential. In case You grant access to other person/s, You
shall be bound by their actions while using Your account.

4. Confidentiality Policy
You might divulge your confidential information to us throughout the course of our collaboration.
Except as authorized or instructed in writing by You, We promise to keep Your Confidential
Information in strict confidence and not disclose it to any third party. We further agree to use Your
Confidential Information only in connection with the Services. Only employees, officers, directors,
contractors, representatives, and agents involved in delivering services to you will have access to
Your Confidential Information. For the purposes of this Agreement, “Confidential Information” refers

upcoming business operations, goods and services, plans, strategies, and images.
The following is not Confidential Information, despite anything to the contrary in this Agreement: (a)
information that was already in a party’s rightful possession at the time of disclosure; (b) information
that was in the public domain at the time of disclosure or has entered the public domain without a

Agreement; or (d) information that a party learns without restriction from a third party source that
does not directly or indirectly involve a breach.

Records. Except for Our Service Providers and the proper authorities as required by law, Customer
records are considered confidential and will not be disclosed to any other parties. Your personal

market any new services or goods, including those created or provided by our affiliates or partners
now or in the future, using your email address. Additionally, as a way of extending our services and
offers to our loyal clients, we may send you product offers in the following formats: marketing

6. Owner Of The Designphic Service
You understand and agree that You shall be the sole owner of the Designphic service created in Your
Designphic order only at the time Designphic service is/are final and do not assume any further
revisions/changes/substitutes and all the fees associated with Our Services were properly paid.
Only the finished product, which includes all.pngs files sent in response to Your purchase and
accepted by You, shall be subject to sole ownership. If You Want to Make Additional Changes, You
Will Separately Pay For Extra Charges On Requested Changes Solicited Through Customer Support Or
Any Other Communication Channel With Us If You Want To Make Additional Changes, Which Are
Already Beyond The Scope Of Our Free Revisions Policy (See Item 7.3). Then, upon final acceptance
of all changes and receipt of full payment for such Services, the intellectual property rights in such
derivative work will be expressly assigned to You. In such a circumstance, You agree that You permit
Us to create a derivative work based on Your intellectual property.
However, We reserve the right to use the Designphic service (s) created in Your Designphic order in
marketing Our services and therefore You agree to provide Us with non-exclusive, royalty-free,
indefinite license to market Our Services using Your Designphic signature(s) in whole or in part.
Although we will make every attempt to give You a personalized Designphic service, there may still
be some similarities with other customers’ signatures owing to design or format constraints. We will
not accept any responsibility or liability for how other customers use the signatures we create for
them that are similar to or resemble Your Designphic service in the event of similarities and without
our knowledge that You have filed or acquired a trademark for Your Designphic service. In light of
the circumstances, We will not be held accountable for infringing on Your trademark in any way. ‘If
We deliver Your Designphic service(s) inadvertently or on Purpose, You Release Us From Liability.

7. Revisions/Changes To Your Designphic service
Once Your order has been placed and confirmed, You agree that all the information provided on the
checkout process is correct and verified by you.
When You receive Your Designphic service You have ten (5) calendar days for approval or changes
request before it is considered final. Once Your Designphic service is final You are not entitled to any
free changes unless specified herein in Our Terms of Service.
Before Your Designphic service is deemed final, You are Entitled to Three (3) Free Revisions to
Address the Changes You Want to Have. However, the signature itself shall only be subject to
modest redesigns and individual letter redesigns. For the undertags, the only permitted alteration is
resizing. There is a fee/charge for changing the color or the spelling of a name, unless the error was
made entirely by Us without Your input.
Any additional changes that go beyond the scope of the free revisions must be paid for separately
using any form of payment that the company deems acceptable. If You Want More Extensive
Revisions Than What Is Currently Provided In Item. A fixed fee of $15 will be charged for each
amendment.
We reserve the right, in our sole discretion, to charge a higher rate for such revisions if the
requested changes go beyond the scope of a simple revision and instead result in a completely new
product that is significantly different from the version of a product submitted for changes, or if the
revision is part of Our Premium Service package or any other paid (upgrade) Services that require a
higher fee payment. which You must send before We make the adjustments specified in this
paragraph.
If you ordered the Designphic service All-Inclusive VIP Pack product, you are entitled to as many
rounds of revisions as Our webpage specified at the time of purchase within the first 30 days from
the date of delivery or until approval of the supplied design, whichever occurs first. The revisions for
this product include a partial and/or total redesign, but they do NOT consider alterations to the
information that You submitted when placing the order (as detailed under item

8. User Conduct
In using the Website and Services, You agree that you will not:
violate any applicable laws, regulations, rules, ordinances, statutes, requirements, codes or orders of
any governmental or judicial authorities or any third party terms and conditions applicable to any
Services that You use;
If you ordered the Designphic service All-Inclusive VIP Pack product, you are entitled to as many
rounds of revisions as Our webpage specified at the time of purchase within the first 30 days from
the date of delivery or until approval of the supplied design, whichever occurs first. The revisions for
this product include a partial and/or total redesign, but they do NOT consider alterations to the
information that You submitted when placing the order (as detailed under item

9. Social Media Testimony.
We reserve the right to use any publicly accessible testimonial posted as part of Your Designphic
service presentation in any and all social media accounts for the promotion, marketing, and
advertisement of Our services. In this situation, we normally request an extra permission; but, if that
permission has already been given, you agree that any future revocation of it is null and void.

10. Indemnity
The “Indemnified Parties” refers to the Company, its affiliates, and each of their respective licensors
and service providers, as well as any officers, directors, owners, agents, or licensors of any of the
aforementioned (collectively, the “Indemnified Parties”), from and against any and all losses,
damages, liabilities, and costs sustained by any of the Indemnified Parties in connection with any
claim arising out of Your Content, Your use of the We will never be held responsible for anything
that exceeds the price paid for the requested services.

11. Refund Policy
You understand and agree that the product that We make for You is a personalised artistic work, and
as such a refund or replacement will not be offered in the event that You merely do not like the
product. Despite our commitment to creating a logo that You adore, we cannot ensure complete
pleasure. This is especially true given that item 7 of these terms and conditions states that you are
entitled to the number of modifications mentioned therein. Please be aware that we reserve the
right to alter our prices and estimates at any time.
You agree to close or withdraw any PayPal, credit card processor, or other similar dispute that you or
someone acting on your behalf opens or initiates in relation to the payment of the fee you paid to Us
within 24 hours of our, PayPal, or any other pertinent provider (“Payment Provider”) giving you
proof that We have sent you the Product. You hereby authorize and direct the Payment Provider to
close or withdraw the dispute based on the provision of these terms and conditions by Us to the
Payment Provider and a copy of the delivery of the Product by Us to You in the event that You do
not close or withdraw such dispute. Unless You have paid for Your order, Any and all intellectual
property rights will be returned to the Company if this payment is withdrawn. You hereby hold Us
harmless from any loss or harm sustained by Us as a result of Your breach of this clause’s
responsibilities. Regarding the Product you ordered, you are entitled to the number of revisions that
are specified on the Website.

12. Changes To Terms
Company may update these Terms at any time by posting updates on the Website; however, (i)
these updates will only be binding on You once Company posts notice on the Website that these
Terms have changed and You use any of the Website for the first time after the date of such posting,
(ii) the updates will only be applicable to Your use of the Website after they take effect, and (iii) any
change in payment obligations will only take effect after such changes become effective. You will no
longer be allowed to use or access the Website or Services if you at any point find these Terms
objectionable or disagree with them.

13. Law And Jurisdiction
Without respect to principles of conflicts of law, the parties submit to the jurisdiction of the Court of
the United States, which has the authority to consider appeals from these terms and conditions.
